License Agreement

This Platform License and Acceptable Use Agreement (“Agreement”) is entered into between MyBundlePay LTD, a company incorporated under the laws of the Federal Republic of Nigeria with RC No. 8179333 (“MyBundlePay,” “we,” “us,” or “our”), and each individual or legal entity that accesses or uses the MyBundlePay website, mobile application, application programming interfaces, software development kits, dashboards or related services (“User,” “you,” or “your”).

This Agreement governs your access to and permitted use of:

  • The MyBundlePay website available at www.mybundlepay.com;

  • The MyBundlePay mobile application;

  • Merchant and customer dashboards;

  • MyBundlePay APIs, SDKs and developer documentation;

  • Wallet, payment, bill-payment and virtual-card interfaces; and

  • Any other software, feature or digital service made available by MyBundlePay.

By registering an account, clicking an acceptance button, accessing the Platform or continuing to use any Service, you confirm that you have read, understood and agreed to be legally bound by this Agreement.

This Agreement should be read together with our Privacy Policy, Refund Policy, Merchant Service Agreement, Acceptable Use Policy, pricing information and any product-specific terms presented to you.

1. Definitions

For purposes of this Agreement:

“Account” means a registered user or merchant account created on the Platform.

“Applicable Law” means all laws, regulations, regulatory directives, court orders, card-scheme rules and legally binding requirements applicable to the Services or the parties.

“Content” means software, text, graphics, logos, designs, interfaces, documentation, databases, audiovisual materials and other materials made available through the Platform.

“Partner” means a bank, payment service provider, card issuer, card processor, telecommunications provider, biller or other third party involved in delivering a Service.

“Platform” means the MyBundlePay website, mobile application, dashboards, APIs, SDKs and associated technology.

“Services” means the products and functionality made available through the Platform, subject to eligibility, availability and product-specific terms.

2. Eligibility and Authority

You may use the Platform only if:

  • You are at least 18 years old and legally capable of entering into a binding agreement;

  • You are not prohibited from using the Services under Applicable Law;

  • You provide accurate, complete and current registration information;

  • You use the Platform for yourself or for an organization that has authorized you to act on its behalf; and

  • You successfully complete any identity, business or compliance verification required for the relevant Service.

Where you use the Platform on behalf of a company or another legal entity, you represent that you have authority to bind that entity to this Agreement.

We may request identity, address, business-ownership, source-of-funds or other verification information before or during your use of the Platform.

3. Nature of the Platform

MyBundlePay provides technology through which eligible users may access payment and related digital financial services.

Certain Services may be provided, sponsored, processed or fulfilled by licensed or regulated Partners. The identity and role of a Partner may be disclosed in relevant product terms, transaction screens or other notices.

Nothing in this Agreement represents that MyBundlePay itself performs a regulated activity for which it does not hold the required authorization. Services will only be offered to the extent permitted under Applicable Law and applicable Partner arrangements.

Availability of a Service does not guarantee that every user, transaction, merchant, country, currency or payment method will be supported.

4. Ownership of the Platform

The Platform and its Content are owned by or licensed to MyBundlePay and are protected by applicable intellectual-property laws.

Our intellectual property includes, where applicable:

  • The MyBundlePay name, trademarks, logos and branding;

  • Website and application interfaces;

  • Source code, object code and software architecture;

  • APIs, SDKs and technical documentation;

  • Databases and data structures;

  • Transaction-processing workflows and proprietary tools;

  • Reports, graphics, written content and audiovisual materials; and

  • Improvements, updates and derivative works created by or for MyBundlePay.

Except for the limited licence expressly granted under this Agreement, no intellectual-property right is transferred to you.

Third-party names, trademarks and services remain the property of their respective owners.

5. Limited Licence

Subject to your continuing compliance with this Agreement, MyBundlePay grants you a limited, personal, revocable, non-exclusive, non-sublicensable and non-transferable licence to:

  • Access and use the Platform for lawful personal or approved business purposes;

  • Install and use the mobile application on devices that you own or control;

  • Access Services for which your Account is eligible; and

  • Use approved APIs and developer materials in accordance with our documentation and applicable product terms.

This licence does not permit ownership, resale, redistribution or commercial exploitation of the Platform itself.

6. Licence Restrictions

Unless expressly authorized in writing by MyBundlePay or permitted by Applicable Law, you must not:

  • Copy, reproduce, modify, translate or create derivative works from the Platform;

  • Reverse engineer, decompile, disassemble or attempt to discover its source code;

  • Sell, lease, sublicense, distribute or commercially exploit any part of the Platform;

  • Remove or alter copyright, trademark or proprietary notices;

  • Frame, mirror or reproduce the Platform on another website or service;

  • Use MyBundlePay branding in a manner that suggests an unauthorized partnership or endorsement;

  • Access non-public systems, accounts or data without authorization;

  • Circumvent authentication, security, usage limits or access controls;

  • Probe, scan or test the vulnerability of the Platform without written authorization;

  • Use scraping tools, crawlers, bots or automated extraction tools except through an approved API;

  • Introduce malware, ransomware, spyware, viruses or other harmful code;

  • Interfere with the availability, integrity or performance of the Platform;

  • Use the Platform to build, train or support a competing product through unauthorized extraction of our proprietary materials; or

  • Assist another person to perform any prohibited activity.

Nothing in this section limits any non-excludable right granted by Applicable Law.

7. Account Registration and Security

You are responsible for maintaining the security of your Account, devices, passwords, personal identification numbers, one-time passwords, authentication tokens and API credentials.

You agree to:

  • Use strong and unique authentication credentials;

  • Prevent unauthorized access to your Account;

  • Keep your contact and verification information current;

  • Review transaction notifications and Account activity;

  • Immediately report suspected compromise, fraud or unauthorized access; and

  • Follow security instructions issued by MyBundlePay.

You must not share login credentials or allow another person to impersonate you.

Actions performed through your authenticated Account may be treated as authorized unless you promptly report unauthorized access and our investigation establishes otherwise.

We will never require you to disclose your password, complete card credentials or one-time password through an unsolicited message.

8. Identity Verification and Compliance Screening

You authorize MyBundlePay and its approved Partners to carry out checks reasonably required to:

  • Verify your identity or business;

  • Confirm beneficial ownership and control;

  • Assess eligibility for particular Services;

  • Prevent fraud and account abuse;

  • Comply with anti-money-laundering and counter-terrorist-financing obligations;

  • Perform sanctions, politically exposed person and adverse-media screening;

  • Verify source of funds or source of wealth where appropriate;

  • Monitor unusual or suspicious transactions; and

  • Respond to lawful regulatory or law-enforcement requests.

We may request additional information at any time. Failure to provide satisfactory information may result in delayed transactions, restricted functionality, suspension or termination.

9. Acceptable Use

You may use the Platform only for lawful and authorized purposes.

You must not use the Platform to:

  • Commit or facilitate fraud, theft, impersonation or deception;

  • Launder money or finance terrorism;

  • Transact for or on behalf of a sanctioned or prohibited person;

  • Use stolen identities, cards, bank accounts or payment credentials;

  • Misrepresent the nature, ownership or activities of a business;

  • Process transactions for undisclosed third parties;

  • Conduct unauthorized payment aggregation or financial services;

  • Manipulate transaction descriptions, locations or merchant classifications;

  • Evade transaction limits, monitoring controls or compliance checks;

  • Conduct illegal gambling, unlawful lending or other prohibited activity;

  • Purchase or sell illegal, counterfeit or infringing goods;

  • Facilitate child exploitation, human trafficking or other serious harm;

  • Harass, threaten or unlawfully discriminate against another person;

  • Infringe intellectual-property, privacy or contractual rights;

  • Submit false chargeback, refund or dispute claims;

  • Abuse promotions, referrals, incentives or pricing arrangements; or

  • Violate Applicable Law, Partner requirements or card-scheme rules.

We may maintain and update prohibited-business and restricted-activity rules. Where reasonably practicable, material changes will be communicated through the Platform or other appropriate channels.

10. Payment and Wallet Services

Payment, wallet and transfer functionality is subject to:

  • Successful identity and compliance verification;

  • Transaction and Account limits;

  • Availability of relevant payment networks and Partners;

  • Sufficient cleared funds;

  • Fraud and risk controls;

  • Product-specific fees and terms; and

  • Applicable Law.

A displayed balance or transaction status may be provisional until final confirmation is received from the relevant payment network or Partner.

We may reject, delay, reverse or place a hold on a transaction where reasonably necessary to:

  • Correct an error;

  • Prevent fraud or unauthorized activity;

  • Resolve a duplicate or disputed transaction;

  • Comply with a legal or regulatory obligation;

  • Enforce transaction limits;

  • Address a Partner or payment-network instruction; or

  • Protect users, MyBundlePay or the integrity of the Platform.

Any restriction or reversal will be handled in accordance with Applicable Law and relevant product terms.

11. Virtual-Card Services

Where virtual-card functionality is available:

  • Cards may be issued or supported by third-party issuing or processing Partners;

  • Eligibility, currencies, limits, merchant acceptance and supported countries may vary;

  • A card may be suspended, frozen, restricted or terminated where required for security, compliance or Partner reasons;

  • Merchant authorizations may temporarily reduce available card balances;

  • A merchant or card network may control the timing of authorization releases and refunds; and

  • Certain merchant categories or transaction types may be restricted.

You must use virtual cards only for lawful transactions and in accordance with applicable card terms.

MyBundlePay does not guarantee that a card will be accepted by every merchant, platform, country or subscription service.

You must not use a card to disguise prohibited activity, bypass merchant restrictions or conduct transactions on behalf of undisclosed third parties.

12. Bill Payments and Digital Services

You are responsible for confirming all beneficiary and service details before submitting a purchase or payment, including:

  • Phone numbers;

  • Bank-account details;

  • Customer or decoder numbers;

  • Meter numbers;

  • Service providers;

  • Subscription plans; and

  • Payment amounts.

Transactions may not be reversible after successful processing.

Where a debit occurs without successful service delivery, the matter will be investigated and handled in accordance with our Refund Policy, Applicable Law and Partner confirmation.

13. Developer and API Licence

Where API access is approved, MyBundlePay grants the approved developer or business a limited licence to integrate the API into its authorized application.

API users must:

  • Follow current API documentation;

  • Keep credentials on secure server-side systems;

  • Restrict credentials to authorized personnel;

  • Use encryption and appropriate access controls;

  • Validate requests and responses;

  • Implement idempotency and appropriate timeout handling;

  • Monitor for unauthorized activity;

  • Respect rate, volume and transaction limits;

  • Maintain accurate technical and transaction records; and

  • Notify MyBundlePay promptly of a security incident.

API keys must not be embedded in public source code, mobile applications, client-side scripts or publicly accessible repositories.

We may rotate credentials, change authentication requirements or suspend API access where necessary for security, stability or compliance.

Except where expressly agreed in writing, API availability does not include a guaranteed service level.

14. User Content and Feedback

You retain ownership of information and materials that you lawfully submit through the Platform.

You grant MyBundlePay a non-exclusive licence to host, reproduce, process and transmit that material only as reasonably necessary to:

  • Operate and secure the Platform;

  • Process requested transactions;

  • Provide customer support;

  • Meet legal and compliance obligations; and

  • Improve the Services, subject to our Privacy Policy.

You represent that you have the right to submit the relevant material and that it does not violate any law or third-party right.

Where you voluntarily provide suggestions or feedback, MyBundlePay may use the feedback without restriction or payment, provided that this does not authorize disclosure of your personal data contrary to Applicable Law.

15. Privacy and Personal Data

MyBundlePay processes personal data in accordance with its Privacy Policy and applicable data-protection legislation, including the Nigeria Data Protection Act 2023.

Depending on the Service and context, personal data may be processed to:

  • Create and administer Accounts;

  • Verify identity and business information;

  • Execute and reconcile transactions;

  • Prevent fraud and financial crime;

  • Provide support;

  • Meet legal and regulatory duties;

  • Secure and improve the Platform; and

  • Communicate operational or service information.

Personal data will be processed on an appropriate lawful basis and subject to applicable transparency, purpose-limitation, data-minimization, accuracy, retention, security and accountability requirements.

Your use of the Platform does not constitute consent to every form of data processing. Where consent is the applicable legal basis, it will be requested separately and may be withdrawn subject to legal and operational limitations.

Personal data may be shared with Partners, regulators, law-enforcement bodies, professional advisers or service providers where legally permitted and reasonably necessary.

Cross-border personal-data transfers will be handled in accordance with applicable legal requirements and safeguards.

16. Device Permissions

The mobile application may request access to device functions such as notifications, camera, files, biometrics or location where reasonably required for a feature, identity verification or fraud prevention.

Relevant permissions will be requested through your device or application interface. You may control certain permissions through your device settings, although disabling a necessary permission may prevent a feature from operating.

We will not use a device permission for a materially different purpose without appropriate notice or authorization.

17. Electronic Communications

You agree that agreements, disclosures, notices, transaction receipts and other communications may be provided electronically through:

  • The Platform;

  • Email;

  • SMS;

  • Push notification; or

  • Other contact details registered to your Account.

Electronic communications satisfy any requirement that information be provided in writing, except where Applicable Law requires another form.

You are responsible for maintaining accurate contact information and reviewing communications relating to your Account.

Marketing communications will be handled in accordance with Applicable Law, and available opt-out mechanisms will be provided where required.

18. Fees and Taxes

Applicable fees will be disclosed through the Platform, pricing page, transaction screen, API documentation or an agreed commercial schedule.

You must review the applicable fees before authorizing a transaction.

We may change fees by giving notice where required by Applicable Law or the applicable agreement.

You are responsible for taxes arising from your business or use of the Services, except for taxes imposed directly on MyBundlePay’s income.

19. Platform Updates and Changes

We may issue updates, patches and new versions to:

  • Improve functionality;

  • Correct defects;

  • Address security vulnerabilities;

  • Meet Partner or regulatory requirements; or

  • Modify or discontinue features.

You may be required to install an update to continue using the Platform securely.

Where reasonably practicable, we will provide notice before materially discontinuing a core feature. Immediate changes may be made where necessary for security, legal, regulatory or Partner reasons.

Continued use after an update may be subject to the current version of this Agreement.

20. Third-Party Services and Links

The Platform may interact with or link to services operated by third parties.

Third-party services are governed by their own terms and privacy practices. MyBundlePay does not own or control those services and is not responsible for their independent acts or omissions, except to the extent liability cannot lawfully be excluded.

The inclusion of a link or integration does not necessarily constitute endorsement.

21. Service Availability

We aim to maintain reliable Services but do not guarantee uninterrupted or error-free access.

Availability may be affected by:

  • Scheduled or emergency maintenance;

  • Telecommunications or internet failure;

  • Banking and payment-network disruption;

  • Partner downtime;

  • Cybersecurity incidents;

  • Regulatory action;

  • Power failure;

  • Force majeure events; or

  • Other circumstances beyond reasonable control.

Where practical, we will take reasonable steps to restore affected Services and communicate material disruptions.

22. Suspension and Restriction

We may restrict, suspend or disable access to some or all Services where reasonably necessary because:

  • You breached this Agreement;

  • Verification remains incomplete;

  • Fraud, compromise or suspicious activity is suspected;

  • A transaction or Account presents legal, financial, security or reputational risk;

  • A Partner or regulator requires the restriction;

  • Your activity may harm another person or the Platform;

  • Amounts are owed to MyBundlePay; or

  • Continued access could violate Applicable Law.

Restrictions may be applied without prior notice where advance notice would be unlawful, compromise an investigation or increase risk.

Where permitted and appropriate, we will provide notice of a material restriction and information about available review or complaint procedures.

23. Termination

You may stop using the Platform and request Account closure, subject to:

  • Completion of pending transactions;

  • Resolution of disputes, reversals or chargebacks;

  • Payment of outstanding amounts;

  • Applicable retention obligations; and

  • Any continuing investigation or legal restriction.

MyBundlePay may terminate this licence and close your Account where permitted under this Agreement and Applicable Law.

Upon termination:

  • Your licence to use the Platform ends;

  • You must stop accessing restricted software and materials;

  • Provisions intended to survive termination will remain effective; and

  • Any eligible balance will be handled in accordance with Applicable Law, the status of pending transactions, applicable deductions and relevant product terms.

Account closure does not prevent MyBundlePay from retaining records where required for legal, regulatory, fraud-prevention, dispute-resolution or legitimate business purposes.

24. Refunds, Complaints and Disputes

Refunds and transaction reversals are governed by our Refund Policy, relevant Partner rules and Applicable Law.

To submit a complaint, contact MyBundlePay using the details in Section 35 and provide sufficient information to identify the Account and transaction.

We will acknowledge, investigate and respond to complaints within applicable timelines.

You agree to cooperate with reasonable requests for information during an investigation.

Nothing in this Agreement prevents a consumer from referring an unresolved matter to a competent regulator, consumer-protection authority, court or other body with lawful jurisdiction.

25. Consumer Rights

Nothing in this Agreement excludes, restricts or waives a right or remedy that cannot lawfully be excluded under the Federal Competition and Consumer Protection Act 2018 or other Applicable Law.

Where any disclaimer, exclusion or limitation in this Agreement conflicts with a mandatory consumer right, that provision will apply only to the maximum extent permitted by law.

26. Disclaimer of Warranties

To the maximum extent permitted by Applicable Law, the Platform is provided on an “as available” basis.

MyBundlePay does not warrant that:

  • Every Service will always be available;

  • The Platform will be entirely free from defects or interruptions;

  • Every third-party system will remain compatible;

  • Every payment or card will be accepted; or

  • Information supplied by third parties will always be complete or error-free.

This disclaimer does not exclude any statutory warranty, duty or consumer guarantee that cannot lawfully be excluded.

27. Limitation of Liability

To the maximum extent permitted by Applicable Law, MyBundlePay will not be liable for indirect, incidental, special, punitive or consequential loss, including loss of profit, opportunity, goodwill or anticipated savings, arising from use of the Platform.

MyBundlePay will not be responsible for loss caused primarily by:

  • Incorrect instructions or beneficiary details supplied by you;

  • Your failure to protect credentials or devices;

  • Unauthorized activity that you failed to report promptly;

  • A merchant’s or Partner’s independent acts or omissions;

  • Unsupported or prohibited use;

  • Internet, telecommunications or banking-network failures; or

  • Events beyond our reasonable control.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, fraudulent misrepresentation, wilful misconduct or any other non-excludable obligation.

Nothing in this section removes MyBundlePay’s obligation to investigate reported unauthorized or disputed transactions in accordance with Applicable Law.

28. Indemnity for Business Users

Where you use the Platform for business purposes, you agree to indemnify MyBundlePay and its officers, employees and affiliates against third-party claims, losses and reasonable costs arising from:

  • Your unlawful use of the Platform;

  • Your breach of this Agreement;

  • Your products or services;

  • Your violation of another person’s rights; or

  • Content, data or instructions supplied by you.

This indemnity does not apply to the extent a claim results from MyBundlePay’s own fraud, wilful misconduct or breach of a non-excludable legal obligation.

This section does not apply to an individual consumer except to the extent permitted by Applicable Law.

29. Security Incidents

You must immediately notify MyBundlePay if you become aware of:

  • Account compromise;

  • Exposed API credentials;

  • Unauthorized transactions;

  • Malware affecting your integration;

  • Improper access to personal or payment data; or

  • Any other incident that could affect the Platform or its users.

You must preserve relevant evidence and cooperate with reasonable containment, investigation and remediation steps.

You must not publicly disclose a suspected vulnerability in a manner that increases risk before giving MyBundlePay a reasonable opportunity to investigate and address it.

30. Copyright and Intellectual-Property Complaints

A rights holder who believes material available through the Platform infringes intellectual-property rights may contact us with:

  • Identification of the protected work;

  • Identification and location of the allegedly infringing material;

  • The complainant’s contact details;

  • Evidence of ownership or authority; and

  • A statement that the complaint is made in good faith.

We may remove or restrict access to disputed material while reviewing a complaint.

31. App-Store Terms

Where the mobile application is downloaded from a third-party app store:

  • This Agreement is between you and MyBundlePay, not the app-store operator;

  • The app-store operator is not responsible for providing the Services;

  • Your use of the application remains subject to applicable app-store rules; and

  • The app-store operator may be a third-party beneficiary of provisions relating to the mobile-application licence where its terms require this.

32. Changes to this Agreement

We may amend this Agreement to reflect:

  • Changes to the Platform;

  • New legal or regulatory requirements;

  • Partner or card-scheme requirements;

  • Security developments; or

  • Changes to our operational practices.

Material changes will be communicated through the Platform, email or another appropriate channel before they take effect where required by Applicable Law.

The “Last Updated” date will identify the current version.

Where Applicable Law requires express consent to a change, we will request it. Otherwise, continued use after the effective date of an amendment constitutes acceptance of the updated Agreement.

33. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Federal Republic of Nigeria.

Subject to any mandatory consumer right or applicable dispute-resolution requirement, the courts of competent jurisdiction in Nigeria will have jurisdiction over disputes arising from this Agreement.

Before commencing formal proceedings, the parties should make reasonable efforts to resolve the dispute through MyBundlePay’s complaints procedure, unless urgent relief is required.

34. General Provisions 34.1 Entire Agreement

This Agreement and the policies incorporated by reference constitute the entire agreement concerning the Platform licence, except where separate written product or commercial terms apply.

34.2 Order of Precedence

Where product-specific terms conflict with this Agreement, the product-specific terms prevail for that product to the extent of the conflict.

34.3 Assignment

You may not assign or transfer this Agreement without our prior written consent.

MyBundlePay may assign this Agreement as part of a merger, restructuring, sale of business or transfer to an affiliate, subject to Applicable Law and appropriate notice where required.

34.4 No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

34.5 Severability

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, while the remaining provisions remain effective.

34.6 No Partnership

This Agreement does not create an employment, partnership, joint venture, fiduciary or agency relationship between you and MyBundlePay.

34.7 Survival

Provisions concerning intellectual property, confidentiality, liability, indemnity, outstanding obligations, records, disputes and governing law survive termination where their nature requires.

34.8 Language

This Agreement is written in English. Any translation is provided for convenience, and the English version will prevail to the extent permitted by Applicable Law.

36. Acceptance

By creating an Account, clicking an acceptance button, integrating an API, downloading the application or otherwise using the Platform, you confirm that:

  • You have read and understood this Agreement;

  • You have had an opportunity to review the incorporated policies;

  • The information you provided is accurate; and

  • You agree to be legally bound by this Agreement.

Where you do not agree, you must not access or use the Platform.
